OVERVIEW

PlaceWell is operated by BeNiralu LLC ("PlaceWell," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the PlaceWell online store, website, products, content, and related services (collectively, the "Services").

Our online store is hosted by Shopify, which provides the ecommerce platform that allows us to offer and sell our products.

Please read these Terms carefully. They contain important information about your legal rights, including warranty disclaimers and limitations of liability. By accessing or using the Services or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

SECTION 1 - ELIGIBILITY AND USE OF THE SERVICES

You must be at least the age of majority in your place of residence, or use the Services with the involvement and consent of a parent or legal guardian who agrees to these Terms.

When placing an order or contacting us, you agree to provide information that is accurate, current, and complete and that you have the right to provide.

PlaceWell does not currently offer customer accounts, user profiles, paid subscriptions, or recurring billing through its online store. No account is required to browse the store or place an order.

You may use the Services only for lawful personal or household purposes and in accordance with these Terms.

SECTION 2 - PRODUCTS AND PRODUCT CONFIGURATION

We make reasonable efforts to describe and display our products accurately. Colors, scale, materials, and product appearance may vary from what you see on your device because of screen settings, lighting, manufacturing tolerances, and other factors.

Product measurements are approximate unless expressly stated otherwise. Packaging and product details may change without notice where the change does not materially reduce the product's intended function or quality.

Some PlaceWell products allow you to select a label format or configuration. You are responsible for reviewing your selections before submitting an order. The configuration shown in your cart or order confirmation forms part of your order.

PlaceWell labels may include scannable or connected features designed to work with PlaceWell digital functionality. Operation of those features may depend on factors outside our control, including a compatible device, camera permissions, internet access, browser or operating-system compatibility, and availability of supporting technology. Digital features may be improved, modified, or discontinued where reasonably necessary, subject to applicable law.

Unless expressly stated otherwise, PlaceWell products are organizational tools. They are not safety devices, medical devices, food-safety systems, or substitutes for checking product packaging, expiration information, allergen information, storage instructions, or other authoritative guidance.

We may modify or discontinue products, limit available quantities, or restrict sales to particular locations where reasonably necessary. Product availability is not guaranteed.

SECTION 3 - ORDERS AND ACCEPTANCE

Submitting an order is an offer to purchase. An automated order confirmation acknowledges that we received your order but does not necessarily mean that we have accepted it. We may accept or decline an order, including because of product availability, suspected fraud, pricing or listing errors, shipping restrictions, or payment issues.

An order is accepted when we send confirmation that it has been accepted or fulfilled, or when we otherwise begin fulfillment. We may contact you using the email address, telephone number, or billing information provided with the order if we need additional information.

Review your products, configurations, shipping address, and payment details before submitting an order. We may be unable to change or cancel an order after fulfillment has begun.

Products are sold for personal or household use unless we agree otherwise in writing. You may not purchase products for unauthorized resale or export.

SECTION 4 - PRICES, TAXES, AND PAYMENT

Prices, promotions, and availability may change without notice. The price charged will be the price displayed when you submit your order, subject to correction of obvious errors as permitted by law.

Unless expressly stated otherwise, displayed product prices do not include shipping, taxes, customs duties, import charges, or similar fees. Applicable amounts will be displayed during checkout where Shopify supports their calculation, or may be charged by the relevant authority or carrier.

Payments are processed through Shopify and its payment providers. You represent that you are authorized to use the payment method submitted and that the payment information is accurate. By submitting an order, you authorize the applicable charges, including product price, shipping, and taxes.

We do not currently offer paid subscriptions or recurring charges. Each purchase is a one-time transaction unless we clearly introduce and disclose a different arrangement in the future.

SECTION 5 - SHIPPING AND DELIVERY

Shipping options, estimated processing times, and estimated delivery times are described during checkout or in our Shipping Policy and Shipping & Returns page.

Delivery dates are estimates unless we expressly guarantee otherwise. Delays may occur because of carriers, weather, customs, incorrect addresses, high order volume, or events outside our reasonable control.

You are responsible for providing a complete and accurate delivery address. Contact us promptly if you discover an error. We cannot guarantee that an address can be changed after fulfillment begins.

Risk of loss and ownership transfer as provided by applicable law. Nothing in these Terms limits rights you may have for products that are lost, damaged, defective, or not delivered.

SECTION 6 - RETURNS, EXCHANGES, AND REFUNDS

Returns, exchanges, cancellations, damaged products, and refunds are governed by our Refund Policy and the information presented on our Shipping & Returns page.

Because some label products may be prepared according to your selected configuration, eligibility may depend on the product's condition, configuration, and the reason for the return. Any restriction will apply only as stated in the applicable policy and as permitted by law.

Nothing in these Terms excludes or limits a mandatory consumer right or remedy that cannot legally be excluded.

SECTION 7 - INTELLECTUAL PROPERTY

The Services and their content, including the PlaceWell name, logos, designs, text, graphics, photographs, videos, software, product presentation, and arrangement, are owned by BeNiralu LLC or its licensors and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

Without our prior written permission, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, sell, license, or commercially exploit any material from the Services, except where applicable law expressly permits it.

Shopify and other third-party names, logos, and marks belong to their respective owners. No license to use any trademark is granted except as expressly stated.

SECTION 8 - ACCEPTABLE USE

You may not use the Services:

For an unlawful, fraudulent, deceptive, or malicious purpose.

To violate the rights of PlaceWell or another person, including intellectual-property, privacy, or publicity rights.

To harass, threaten, abuse, defame, or harm another person.

To submit false or misleading information.

To upload or transmit malware, malicious code, or harmful content.

To spam, phish, scrape, probe, disrupt, overload, or interfere with the Services or their security.

To collect personal information about others without authorization.

To impersonate another person or misrepresent your identity or affiliation.

To bypass access controls, rate limits, robot exclusions, or other technical protections.

To reproduce, resell, or commercially exploit the Services without our written permission.

We may restrict or terminate access to the Services where we reasonably believe these Terms have been violated or where necessary to protect PlaceWell, Shopify, our customers, or others.

SECTION 9 - THIRD-PARTY SERVICES AND LINKS

The Services may contain links to or functionality provided by third parties. Third-party services are governed by their own terms and privacy policies. PlaceWell does not control and is not responsible for third-party content, availability, security, or practices.

Review applicable third-party terms before using those services or entering into a transaction with a third party.

SECTION 10 - RELATIONSHIP WITH SHOPIFY

PlaceWell is powered by Shopify, which provides the ecommerce platform used to operate the online store. Purchases from our store are transactions directly between you and BeNiralu LLC, not Shopify.

To the fullest extent permitted by law, Shopify is not responsible for PlaceWell products, order fulfillment, customer service, or any injury, damage, or loss arising from a purchase from PlaceWell. Nothing in this section limits rights or remedies that cannot legally be waived.

SECTION 11 - PRIVACY

Our collection, use, and disclosure of personal information are described in our Privacy Policy

Because Shopify hosts the Services, Shopify also collects and processes information relating to access to and use of the store. Shopify's privacy information is available at:

SECTION 12 - FEEDBACK

If you voluntarily send us ideas, suggestions, comments, or other feedback about PlaceWell or the Services ("Feedback"), you confirm that you have the right to provide it.

You grant BeNiralu LLC a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, publish, distribute, and display the Feedback for the purpose of operating, improving, and promoting PlaceWell and its products.

Do not submit confidential information as Feedback. We are not required to keep Feedback confidential, compensate you for it, or implement it.

SECTION 13 - ERRORS AND CORRECTIONS

The Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, prices, promotions, availability, shipping charges, or delivery estimates.

We may correct errors, update information, or cancel an affected order where permitted by law. If we cancel an order after payment, we will refund the amount charged for the canceled portion.

SECTION 14 - DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," EXCEPT FOR ANY EXPRESS WARRANTY WE PROVIDE IN WRITING.

WE DISCLAIM IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, DURABILITY, AND NON-INFRINGEMENT TO THE EXTENT SUCH WARRANTIES MAY LEGALLY BE DISCLAIMED.

WE DO NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS EXCLUDES A WARRANTY, CONDITION, RIGHT, OR REMEDY THAT CANNOT LEGALLY BE EXCLUDED.

SECTION 15 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, BENIRALU LLC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, SAVINGS, BUSINESS OPPORTUNITY, OR DATA; OR REPLACEMENT COSTS ARISING FROM OR RELATED TO THE SERVICES, PRODUCTS, OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, BENIRALU LLC'S TOTAL LIABILITY FOR A CLAIM ARISING FROM OR RELATED TO A PRODUCT, ORDER, THE SERVICES, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO PLACEWELL FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT LEGALLY BE LIMITED OR EXCLUDED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

SECTION 16 - INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify and hold harmless BeNiralu LLC and its directors, officers, employees, contractors, service providers, and licensors from third-party claims, losses, liabilities, damages, and reasonable legal expenses arising from your unlawful use of the Services, your material breach of these Terms, or your violation of another person's rights.

This obligation does not apply to the extent a claim results from our own unlawful conduct, negligence, or breach of these Terms.

SECTION 17 - TERMINATION

You may stop using the Services at any time.

We may suspend or terminate access to the Services where reasonably necessary because of a material violation of these Terms, unlawful activity, fraud, security risk, or harm to PlaceWell, Shopify, our customers, or others.

Provisions that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, Feedback, disclaimers, limitations of liability, indemnification, and dispute-related terms.

SECTION 18 - SEVERABILITY; WAIVER; ENTIRE AGREEMENT

If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be enforced to the greatest extent permitted and the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver of that provision or any other right.

These Terms, together with policies expressly incorporated by reference, form the entire agreement between you and BeNiralu LLC concerning the Services and replace prior agreements or communications concerning the same subject.

SECTION 19 - ASSIGNMENT

You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent.

We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the PlaceWell business, subject to applicable law.

SECTION 20 - GOVERNING LAW

These Terms are governed by the laws applicable in the jurisdiction where BeNiralu LLC is organized, without regard to conflict-of-law principles, except to the extent mandatory consumer-protection law in your place of residence applies.

Any dispute will be brought in a court with lawful jurisdiction over the dispute. Nothing in these Terms prevents either party from pursuing a claim in small-claims court where eligible or from exercising a mandatory consumer right.

SECTION 21 - CHANGES TO THESE TERMS

We may update these Terms to reflect changes to the Services, products, business practices, or legal requirements. The revised Terms will be posted on this page with an updated date.

Where required by law, we will provide additional notice before a material change takes effect. Changes apply prospectively from their effective date.
